MOVEUPGIVEBACK.ORG TERMS OF USE

The Moveupgiveback.org website (the “Site”) is a service of United Way of Greater St. Louis, a Missouri non-profit corporation (“United Way”, “us” or “we”). These Moveupgiveback.org Terms of Use and any additional terms or conditions that we post on the site from time-to-time (“Terms”) set forth the terms and conditions under which you may enter and use the Site and any services available on the Site (collectively, the Site and such services may be referred to as the “Service”), including, as available, the ability to post and obtain information regarding volunteer opportunities.

Please read the Terms carefully. By entering or using the Service and/or registering with the Service, you (1) acknowledge that you have read and understand the Terms, and (2) agree to the Terms. If you do not agree to the Terms (without modification), you are not authorized to enter or use the Service.

United Way reserves the right to modify or change the Terms at any time without prior notice to you. Such modification or change shall be effective upon posting on the Service. If United Way revises the Terms, it will also revise the “Last Updated” date at the top of this page. The most current version of the Terms can be reviewed by clicking on the “Terms of Use” hypertext link located at the bottom of United Way’s web pages. Your continued entry to and/or use of the Service after United Way posts any revised Terms constitutes your agreement to any such revised Terms.

PLEASE NOTE THAT, NOTWITHSTANDING ANYTHING CONTAINED IN THE TERMS OR ON THE SERVICE TO THE CONTRARY, THE SERVICE IS PROVIDED WITHOUT ANY WARRANTIES AND SUBJECT TO LIMITATIONS ON United Way’S LIABILITY. THESE TERMS ARE CONTAINED IN SECTIONS 10 AND 11 BELOW.

  1. General Use and Restrictions.
  • Conditioned upon, and subject to, your strict compliance with the Terms, United Way grants you a non-exclusive, non-transferable, limited license to enter and use the Service (a) for the purposes of downloading and viewing ebooks, and (b) for other purposes expressly permitted by United Way in writing on the Service or in the Terms.

You agree not to enter or use the Service for any purpose that is prohibited by the Terms or is otherwise unlawful. You further agree to comply with all applicable U.S. and international laws, statutes, ordinances, regulations, contracts and applicable licenses regarding your use of the Service. United Way may, in its sole discretion, terminate or suspend your entry to, and/or use of, the Service, or any portion thereof, at any time, with or without notice and for any reason (or no reason), and you agree that (y) if your authorization to enter the Service is terminated, you will not thereafter enter, or attempt to enter, the Service, directly or indirectly, and (z) if your authorization to enter the Service is suspended, you will not thereafter enter, or attempt to enter, the Service, directly or indirectly, until your suspension is removed and United Way gives you express notice thereof.

  • If you provide any information to us, you agree to provide only true, accurate, current and complete information.
  • You may print or copy any information displayed or transmitted on the Service (collectively, “Content”) that you are authorized to access, solely for informational purposes; provided that you (a) do not remove any title, trademark, copyright and/or restricted rights notices contained on such Content, and (b) strictly comply with the provisions of the Terms including, without limitation, Section 4 below.
  • Except as provided in Section 3 above, you may not (and you agree that you will not) reproduce, alter, modify, create derivative works, or publicly display any Content without first receiving United Way’s express written permission. You agree not to sell, resell or exploit the Service for any commercial or non-commercial purposes. You further agree not to, without first obtaining United Way’s express written permission, (a) use any of its trademarks as metatags on other websites, (b) use the Service in any manner that is illegal or impairs the operation of the Service or its availability or usage by others, (c) display any part of the Service in frames (or any Content via in-line links), (d) use the Service to impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity, (e) use the Service to stalk, harass or harm another individual, (f) promote or glorify hatred, violence or racial intolerance on or via the Service, (g) collect or store personal data about other users of the Service, or (h) disobey any requirements, procedures, policies or regulations of networks connected to the Service, or interfere with or disrupt the Service, the Service or servers or networks connected to the Service or the Service. You further agree not to decompile, reverse engineer or disassemble any software or other products or processes accessible through the Service, and not to insert any code or product or manipulate the Service in any way that affects the user’s experience including, without limitation, taking any action that imposes, or may impose, an unreasonable or disproportionately large load on the Service. You further agree not to use any data mining, web crawlers, robots, cancelbots, spiders, Trojan horses, or any data gathering or extraction method in connection with your use of the Service except for customary search engines used in accordance with automated instructions directed to search engines and available on the Service. You agree not to knowingly transmit computer viruses, worms, harmful program routines or use the Service to access without authorization any other computer or machine.
  • Your access and use of the Service may be interrupted from time to time for any of several reasons, including, without limitation, the malfunction of equipment, periodic updating, maintenance or repair of the Service or other actions that United Way or its licensors, in their sole discretion, may elect to take.
  1. The Service.
  • If you sign up to access an ebook or guide, you shall be referred to as a “Registered User”. We reserve the right to terminate a Registered User’s Account or use of the Service at any time, for any reason, including without limitation, if we learn that Registered User has violated the Terms.
  • The portions of the Service available to the general public and Registered Users, and the portions of the Service available to different Registered Users, may vary. Not all Registered Users have access to the same portions of the Service. You agree not to access any portion of the Service for which we do not provide you access. 
  1. We may collect, use, maintain and disclose information as set forth in the STLVolunteer.org Privacy Policy. By using the Service, you agree to the terms and conditions of our Privacy Policy. If you object to the collection, use, maintenance and disclosure of your information as described in the Privacy Policy, your sole recourse is to discontinue using the Service.
  1. INFORMATION POSTED ON THE SERVICE BY USERS. Certain information and content available on the Service is supplied by other users of the Service, not United Way. Such information and content may include, but is not limited to, volunteer opportunity descriptions, contact information, news, graphics and photographs. Any data, services, offers, or other content and information provided by other users are those of the respective user and not United Way. We do not endorse, nor are we responsible for investigating or ensuring the accuracy of, any such information and/or content, and we retain the right to modify, update, designate as inactive, or remove any information or other content posted by users of the Service at any time. We have the right, but not the obligation, to monitor and review the information, content and user Accounts to determine compliance with these Terms and any applicable laws and/or regulations.
  1. REGISTERED USER DATA; LICENSE; REPRESENTATION AND WARRANTY
  • You are responsible for any information, photographs, graphics or other content that you provide to us, including any information that you submit via or provide for inclusion on the Service (including, without limitation, any company or organization logo that you upload via the Service) (collectively, “User Content”). United Way acts as a passive distributor of User Content. However, we reserve the right, in our sole discretion, to remove your User Content from the Service. 
  • You represent and warrant that your User Content: (a) does not and will not contain unlawful, harmful, libelous, discriminatory, obscene or otherwise objectionable material of any kind; (b) does not and will not engage conduct that could violate any applicable national, state, or local laws, regulations, ordinances, or codes, or that could constitute a criminal offense or give rise to civil liability; and (c) does not and will not infringe, misappropriate or otherwise violate any third party right including, without limitation, any third party’s right of privacy or intellectual property rights (including any third party’s copyright, trademark and/or patent).
  • You grant to United Way a worldwide, perpetual, irrevocable, non-transferable, sub-licensable, royalty-free license to use, reproduce, publicly display and create derivative works of your User Content on and in connection with the Service (including, without limitation, the right to use and reproduce such User Content in connection with your Account and any reports, volunteer opportunities and other documents generated in connection with your Account).
  • You represent and warrant that you have the right and authority to upload your User Content via the Service, and to grant the rights granted herein
  1. DEALINGS WITH OTHER REGISTERED USERS, SPONSORS AND ADVERTISERS. You agree that United Way will not be responsible or liable for any loss or damage incurred as a result of any interaction or relationship with any other user of the Service, sponsors, or advertisers, or as a result of such parties’ access to and use of the Service.
  1. Links provided to other locations or websites are made available for your convenience only and do not indicate our endorsement of such other location or site or its data. We do not review or control, and are not responsible for, any website other than the Service (and in the case of the Service, only as provided for herein), or any data available on such other website or locations. We are not liable for any links, information, or applications found at any other website, Internet location, or source of information, or for your use of such information. 
  1. MODIFICATIONS TO THE SERVICE. We reserve the right to modify, suspend, discontinue and/or restrict the use of all or any portion of the Service or the Service, with or without notice to you, at any time for any reason (or no reason). We are not liable to you or any third party should we exercise our right to modify or discontinue the Service or the Service. If you object to any such changes, your sole recourse is to discontinue accessing and/or using the Service and/or Service. Continued access and/or use of the Service or the Service following notice of any such changes shall indicate your assent to and acceptance of such changes. 
  1. You acknowledge and agree that we, at our sole discretion, may terminate your use of the Service without prior notice, and remove and discard your information from the Service, for any reason (or no reason), with or without prior notice. Without limiting the generality of the foregoing, we may terminate your use of the Service if we believe that you violated or acted inconsistently with the Terms or the Privacy Policy. You agree that we are not and shall not be liable to you or any third party for termination of your access to the Service. You may discontinue your participation in and access to the Service at any time.
  1. DISCLAIMER OF WARRANTIES. You expressly acknowledge and agree that your use of the Service (including, without limitation, the Content) is at your sole risk. To the maximum extent permitted by applicable law, the Service (including, without limitation, the Service) is provided to you on an “AS IS” and “AS AVAILABLE” To the maximum extent permitted by applicable law, United Way makes no representations or warranties relating to the Service or Content, including, without limitation, representations or warranties (a) that the Service or Content shall meet your requirements, (b) that the operation of the Service will be uninterrupted, secure or error free, (c) that any defects in the Service or Content will be corrected, or (d) regarding the timeliness, accuracy, reliability, delivery or storage of any Content. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, United Way HEREBY DISCLAIMS ANY AND ALL WARRANTIES AND/OR REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, ORAL OR WRITTEN INCLUDING, WITHOUT LIMITATION, ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, REASONABLE CARE, AND/OR FITNESS FOR A PARTICULAR PURPOSE (WHETHER OR NOT United Way KNOWS, HAS REASON TO KNOW, HAS BEEN ADVISED, OR IS OTHERWISE IN FACT AWARE OF ANY SUCH PURPOSE), IN EACH INSTANCE WITH RESPECT TO THE SERVICE AND CONTENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, United Way FURTHER DISCLAIMS ANY AND ALL WARRANTIES, AND/OR REPRESENTATIONS OF QUIET ENJOYMENT, TITLE AND NONINFRINGEMENT WITH RESPECT TO THE SERVICE AND CONTENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.

You understand and agree that any information downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk, and that you will be solely responsible for any damage to your computer services or loss of data that results from the download of such information.

  1. LIMITATION OF LIABILITY. IN NO EVENT SHALL United Way OR ITS SERVICE PROVIDERS OR LICENSORS, OR THEIR AFFILIATES AND THEIR RESPECTIVE DIRECTORS, OFFICERS, TRUSTEES, EMPLOYEES, INDEPENDENT CONTRACTORS AND AGENTS, BE LIABLE FOR PERSONAL INJURY OR FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR SERVICES OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE TERMS, THE SERVICE, OR CONTENT, WHETHER FOR BREACH OF CONTRACT, IN TORT OR OTHERWISE, EVEN IF United Way IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall United Way’s total liability to you for all damages exceed $10.00.
  1. You agree to indemnify and hold harmless United Way, its affiliates and their respective directors, officers, trustees, employees, independent contractors and agents (“Indemnified Party”) from and against any losses, liabilities, suits, claims, costs, and expenses (including reasonable attorney’s fees) (“Loss”) incurred by the Indemnified Party in connection with any claim arising out of or related to (a) your entry and/or use of the Service, (b) any breach, or alleged breach, of any of the Terms or third party rights by you, (c) any information submitted or transmitted through the Service by you including, without limitation, User Content, (d) the transmission by you of computer viruses, worms, harmful program routines or other similar items into the Service, and/or (e) use of the Service by you to access without authorization any other computer or machine. The Indemnified Party shall be entitled to participate in the defense of any such claim at its own expense with counsel of its own choosing.
  1. Proprietary Rights. All copyright and trade secret rights in and to the Service are and shall be the exclusive property of United Way and/or its licensors. To the extent, if any, that you have any rights in or to the Service, excluding your User Content, you hereby irrevocably assign such rights to United Way, and agree that, as between you and United Way, United Way shall be the sole and exclusive owner of all right, title and interest in and to the Service, including without limitation all copyright, trade secret and other proprietary rights therein that may be secured in any place under laws now or hereafter in effect.
  1. Trademarks, trade names, logos, and service marks (collectively, “Marks”) displayed on the Service are owned by or licensed to United Way. You are not authorized to use these Marks without the prior written consent of United Way or the applicable licensor. As between you and United Way, United Way and its licensors are and shall be the owner of all Marks and all goodwill associated with such Marks.
  1. Governing Law and Jurisdiction. The Service is hosted on servers located in the United States and is intended to be viewed by residents of the United States. The Terms shall be deemed to be agreed to by you in Louis County, Missouri. The Terms, and all matters arising out of or relating to the Terms, shall be governed by the laws of the State of Missouri and the United States, without giving effect to the conflict of law provisions thereof and excluding any application of the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. You consent to exclusive jurisdiction and venue in the federal courts sitting in St. Louis, Missouri, unless no federal subject matter jurisdiction exists, in which case you consent to exclusive jurisdiction and venue in the state courts sitting in St. Louis County, Missouri. You hereby irrevocably waive, to the fullest extent permitted by applicable law, any objection which you may now or hereafter have to the laying of venue of any such proceeding brought in such a court and any claim that any such proceeding brought in such a court has been brought in an inconvenient forum. You agree that any cause of action that you may desire to bring arising out of or related to the Terms must commence within one (1) year after the cause of action arises; otherwise, such cause of action shall be permanently barred.
  1. These Terms contain the entire terms between the parties with respect to the Service. The section titles in these Terms are for convenience only and have no contractual or legal effect. If any provision of the Terms is declared or found to be illegal, unenforceable or void, then the invalid or unenforceable portion shall be modified in accordance with the applicable law as nearly as possible to reflect the original intention of the applicable provision, and the remaining sections of the Terms shall remain in full force and effect. No right or remedy conferred by the Terms is exclusive of any other right or remedy conferred herein or by law or in equity; rather, all of such rights and remedies are cumulative of every other such right or remedy and may be exercised concurrently or separately from time-to-time. United Way may provide notice to you relating to the Terms by sending an e-mail to your last known e-mail address, if any, your last known postal address, if any, or posting a notice on the Service, and any such notice shall be deemed given and received on the earlier of the day it is sent to you or the day it is posted on the Service. A printed version of the Terms and of any notices given to you in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. The failure of United Way to insist upon or enforce strict performance by you of any provision of the Terms shall not be construed as a waiver of any provision or right. If United Way brings any suit against you to enforce the Terms or otherwise in connection with your use and/or enter of the Service, you agree that if United Way prevails in such suit United Way shall be entitled to recover all costs and expenses incurred in such suit including reasonable attorneys’ fees. Use of the Service is unauthorized in any jurisdiction that does not give effect to all provisions of the Terms.
